1. Definitions
In these Reservation Terms: "Aryal", "we", "us" and "our" mean Aryal, Inc., a corporation incorporated in the State of Delaware, United States, and the operator of aryal.ai; "you" and "your" mean the person placing the Reservation; the "Device" means the Aryal circadian lighting device; the "Deposit" means the refundable reservation payment described in clause 4; the "Order" means your full order for the Device, placed when we launch; a "Wave" means a release cohort with its own pricing and availability; and the "Reservation" means your reservation of a Device under these Reservation Terms.
2. Acceptance
By paying the Deposit, placing a Reservation, or using aryal.ai, you agree to be bound by these Reservation Terms, which form a binding agreement between you and Aryal. If you do not agree to them, you must not place a Reservation.
3. Eligibility
3.1. You represent that you are aged 18 or over and that the information you provide when placing your Reservation is accurate and complete.
3.2. A Reservation is personal to you and may not be sold, assigned or transferred without our consent. We may limit the number of Reservations any one person or household may hold.
3.3. We may refuse, suspend or cancel any Reservation that we reasonably consider to be fraudulent, duplicated, made in error, or in breach of these Reservation Terms.
3.4. You place your Reservation as a personal, end-use customer. Reservations, founder pricing and early or founder Devices are offered at our discretion and are not available to competitors. By placing a Reservation you confirm that you are not a competitor of Aryal, are not acting for or on behalf of a competitor, and are not acquiring a Device for competitive analysis, benchmarking, resale or reverse engineering.
3.5. We may, at our sole discretion and at any time before your Order is completed, decline, cancel or withdraw any Reservation, and refuse to sell an early or founder Device to any person, for any lawful reason, including where we reasonably believe a Reservation is placed by or for a competitor or for any purpose described in clause 3.4. Where we cancel a Reservation under this clause, we will refund in full every sum you have paid us in respect of it. We will not decline or cancel on any ground prohibited by law, and nothing in this clause affects your statutory rights as a consumer.
4. The Reservation and Deposit
4.1. The Deposit, the amount of which is confirmed at checkout, reserves your place in the Wave that is open at the time of payment and secures the founder price displayed to you at that time.
4.2. The Deposit is fully refundable in accordance with clause 8 and is credited towards the price of the Device when you place your Order.
4.3. The Deposit reserves a Device but does not constitute a completed sale, does not guarantee any particular delivery date, and does not bear interest.
5. Pricing and currency
5.1. Prices are shown in your local currency where available, and customers in other regions see their own. The amount confirmed at checkout is the amount that applies.
5.2. The price displayed to you at the time of your Reservation is the price payable for your Device, notwithstanding any later change to Wave pricing.
5.3. Pre-launch Wave pricing is published on aryal.ai and may change for later Waves without notice to holders of an existing Reservation.
6. Founder benefits
6.1. Any founder pricing, benefits, perks, offers, subscriptions, merchandise or gifts associated with your Reservation are earned only when you place and pay for your Order, and they remain conditional on that Order being completed and kept.
6.2. We may make some benefits available to you before you place your Order, for example access to our founding community. Any benefit provided early is a courtesy that remains conditional on you completing your Order. It does not, on its own, entitle you to any other benefit, or to keep any benefit, if you do not go on to place and keep your Order.
6.3. We may vary, substitute or withdraw any benefit, and the specifics of any benefit, including any merchandise, subscription features and community access, may change. Benefits are personal to you, are non-transferable, and hold no cash value.
6.4. Benefits and offers cannot be combined with other offers unless we state otherwise.
7. Estimated delivery
We will contact you by email in advance of shipping to confirm your delivery details and to arrange your Order. Any delivery date or window we communicate is a good-faith estimate only and is not contractually binding.
8. Cancellation and refunds
8.1. You may cancel your Reservation and receive a full refund of your Deposit, and of any other sum you have paid us in respect of your Reservation, at any time before you place your Order, for any reason and without charge.
8.2. Refunds are issued to your original payment method.
8.3. If you do not place your Order, or do not respond to our launch communications, your Reservation will lapse and your Deposit will be refunded to you.
8.4. When you place your Order at launch, that Order will be governed by separate order terms provided to you at that time, which will set out the price, payment, cancellation and return rights that then apply.
8.5. Nothing in these Reservation Terms affects your statutory rights as a consumer.
9. If we cannot deliver
If we discontinue the Device or the reservation programme before your Device is dispatched, we will notify you and refund in full every sum you have paid us.
10. Refer a friend
10.1. Every Reservation holder gets a personal referral link. When a friend reserves through your link, you and your friend each become eligible for a credit toward the price of your respective Devices. The amount is shown when you share your link.
10.2. The credit is applied against the price of the Device. It is not cash, is not redeemable for cash, and does not apply to the Deposit. It is issued as a single-use coupon code that is personal to you, is not transferable, and can be applied only to the price of your own Order.
10.3. Like all founder benefits, a referral credit is earned only when the relevant Order is placed and kept. Your credit becomes confirmed once your friend has placed and kept their own full Order and any applicable cancellation or return period has passed. If your friend does not place their Order, or that Order is cancelled, refunded or returned, the related credit is treated as never earned, and where we have issued it in advance we may reverse, reduce or recover it, including by cancelling the coupon or adjusting your Order.
10.4. Referrals are tracked only through your unique referral link. A referral can be recognised only where the identifier carried by that link is present on, and correctly recorded against, the referred Reservation. Any claimed referral without a valid identifier, or where the identifier cannot be verified, will not be recognised automatically and will be subject to investigation.
10.5. We may withhold, reduce, reverse or cancel any credit, and suspend or remove any participant, where we detect or reasonably suspect self-referral, duplicate accounts, fake or incentivised sign-ups, bulk or automated activity, or any other use that does not reflect a genuine referral of a distinct real person. What counts as such activity, and all decisions about eligibility, credit and participation in the referral programme, are made at the sole and absolute discretion of Aryal, Inc., and our decision is final and binding.
10.6. There is no cap on credit earned from genuine referrals of real people you personally invited. We may change or end the referral programme at any time, with reasonable notice for changes that affect credit you have already earned.
11. Wellness disclaimer
Aryal is a general wellbeing device. It is not a medical device and is not intended to diagnose, treat, cure or prevent any disease, condition or symptom, and it does not replace advice, diagnosis or treatment from a qualified healthcare professional. You should consult your doctor about any symptom, condition or treatment decision and must not rely on Aryal as the sole basis for any health decision. If you believe you have a medical emergency, contact your local emergency services.
12. Data protection
We process your personal information in accordance with our Privacy Policy at aryal.ai/privacy, which is incorporated into these Reservation Terms by reference. Where these Reservation Terms conflict with the Privacy Policy on a data-protection matter, the Privacy Policy prevails in respect of that matter.
13. Limitation of liability
13.1. Nothing in these Reservation Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.
13.2. Subject to clause 13.1, we are not liable for any indirect, special or consequential loss, and our total aggregate liability to you arising out of or in connection with your Reservation is limited to the total amount you have paid to us under these Reservation Terms.
13.3. The limitations in clause 13.2 apply only to the extent permitted by the mandatory consumer-protection law of your country of residence, and do not affect your statutory rights.
14. Changes to these Reservation Terms
We may update, add to or remove parts of these Reservation Terms, the reservation programme, the founder benefits and the Waves at any time as the product and business develop. Minor or operational changes take effect when we post them. Where a change materially affects your existing Reservation, we will give you reasonable notice by email before it takes effect, and you may cancel your Reservation for a full refund before the change applies. The "Last updated" date above reflects the current version.
15. Governing law and jurisdiction
These Reservation Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. If you are a consumer, this does not deprive you of the protection of the mandatory consumer-protection law of your country of residence, and your non-excludable statutory rights in that country apply in all cases.
16. General
16.1. These Reservation Terms, together with our Privacy Policy, constitute the entire agreement between you and us in respect of your Reservation.
16.2. If any provision is found to be unenforceable, the remaining provisions continue in full force and effect.
16.3. A failure or delay by us in enforcing any provision is not a waiver of it.
16.4. In the event of any discrepancy, the amount confirmed at checkout is authoritative.
